Allotment of Shares 
 
 
Following financial arrangements put in place by Venue Solutions Holdings plc 
("VSH" or "the Company") in September 2008 with various financial supporters and 
in light of the permissions already granted to allot shares in excess of this 
amount, the Company announces that it has issued 45,866,350 ordinary shares of 
2p nominal value each in the Company to various parties. Included in this amount 
are the following shares, which have been issued to directors: Oliver Iny 
15,000,000, Jacqueline Dunphy 1,300,000, Stephen Thomson 5,000,000. 
 
 
All these shares representing amounts due to the Company have been issued at 2p, 
apart from 12,466,350 ordinary shares which have been allotted to shareholders 
of yourDay inc, our subsidiary company, who chose to convert their shares in 
yourDay Inc to VSH ordinary shares at 4p. Following this further allotment, VSH 
holds 74 per cent. of yourDay Inc shares and the majority of board seats. 
 
 
Full details of the directors' total holdings in the Company will be announced 
separately and application will be made to the London Stock Exchange to list all 
the shares in due course. Following this allotment the total number of ordinary 
shares in the Company in issue are 115,576,349.
