                         ASHTON PENNEY HOLDINGS PLC

                     (the "Company" or "Ashton Penney")

                               Subscription

The Company announces that Mr Colin Maitland, a Director of the Company, has
subscribed for 2,000,000 new ordinary  shares of 1p each ("Ordinary Shares") at
a subscription price of 5p per Ordinary Share. This raises a further #100,000 
of working capital for the development of the Group. The Directors, other than
Mr Maitland, having consulted the  Company's Nominated Adviser, consider that
the terms of the transaction are fair and reasonable insofar as the 
shareholders of the Company are concerned.

The new ordinary shares being issued will rank pari passu with the existing
ordinary shares in issue and application  will be made for these shares to be
admitted to trading on AIM.
