SECTION 1 - REGISTRANT'S BUSINESS AND OPERATIONS
Item 1.01 Entry into a Material Definitive Agreement.
On June 7, 2013, Rango Energy Inc. ("Rango") entered into a Consulting Agreement (the "Agreement") with San Diego Torrey Hills Capital, Inc. ("Torrey Hills") for an initial term of six months. Pursuant to the Agreement, Torrey Hills will develop, coordinate, manage and execute a comprehensive corporate finance and investor relations campaign for Rango. As compensation under the Agreement, Rango will issue 750,000 shares of restricted common stock to Torrey Hills.
The foregoing description of the Agreement is not complete and is qualified in its entirety by reference to the Agreement, which is filed as Exhibit 10.1 hereto.
