Item 8.01 Other Events.
On April 21, 2023, Future FinTech Group Inc. (the
“Company”) received a written notification from the NASDAQ Stock Market Listing Qualifications Staff (the “Staff”)
indicating that the Company has regained compliance with the periodic filing requirement for The Nasdaq Stock Market under Listing Rule
5250(c)(1). Based on the April 19, 2023 filing of the Company’s Form 10-K for the year ended December 31, 2022, Staff has determined
that the Company complies with the Nasdaq Listing Rule and accordingly, this matter is now closed.
On April 24, 2023, the Company issued a press
release announcing that the Company has regained compliance with The Nasdaq Listing Rule, a copy of which is attached hereto as Exhibit
99.1.
