Resignation of Non-Executive Directors


Following  the  announcement dated 1st July  1999  that  the
recommended cash offer by Tenberry plc for Warner Howard has
been  declared  unconditional in  all  respects,  Mr  Ronald
George  Hooker,  C.B.E., F.Eng and Mr John  Arthur  Spooner,
F.C.A. have today resigned as directors of Warner Howard.
