                      Woolworths Group plc ("the Company")

Application has been made to the Financial Services Authority and the London
Stock Exchange plc for a total of 255,625 ordinary shares of 12.5p each
("shares") to be admitted to the Official List.

It is expected that admission will be granted on 25 June 2004 and trading will
commence on 28 June 2004.

These shares are being issued as a result of the exercise of share options under
the Woolworths Executive Share Option Scheme (254,582 shares), and the
Woolworths Sharesave Scheme (1,043 shares).

These shares will rank pari passu with the existing issued ordinary shares.
