Item 8.01 Other Events.

On March 18, 2021, RegeneRx Biopharmaceuticals, Inc., a Delaware corporation (the “Company”), announced topline results of its ARISE-3 dry eye clinical trial being conducted by its licensee. On March 18, 2021, the Company issued a press release disclosing the same information. A copy of the press release is attached as Exhibit 99.1 hereto and incorporated by reference herein.
