Item 1.01

Entry into Material Definitive Agreement

On December 14, 2010, we entered into a consulting agreement with Donald Findlay. The consulting agreement provides for the basic remuneration of Donald Findlay for services to be rendered as president of our company at the rate of US$1,500 per month.
