Item 7.01 Regulation FD Disclosure.

 

Preliminary Redemption Results

 

Mountain & Co. I Acquisition Corp. (the “Company”) encourages shareholders to vote in favor of the proposal to amend the Company’s Amended and Restated Memorandum and Articles of Association (the “Articles Extension”) to change the date by which the Company must complete a business combination from March 9, 2024 to November 9, 2024 (or such earlier date as determined by the Company’s board of directors) (the “Extension”). As disclosed in the Company’s definitive proxy statement, filed with the Securities and Exchange Commission (the “SEC”) on February 23, 2024, a meeting of the Company’s shareholders to approve the Articles Extension is scheduled to be held on March 8, 2024 at 10:00 a.m., Eastern Time. The Extension will provide the Company with additional time to complete its business combination.

 

As of 5:00 p.m., Eastern Time, on March 6, 2024, the redemption deadline, holders of 3,490,113 Class A ordinary shares had elected to have their shares redeemed, resulting in 8,022,952 Class A ordinary shares remaining outstanding after giving effect to such redemptions.

 

Shareholders may withdraw any election to have their Class A ordinary shares redeemed in connection with the Extension by 10:00 a.m., Eastern Time, on Friday, March 8, 2024. Shareholders who wish to withdraw redemptions should contact the Company’s transfer agent, Continental Stock Transfer & Trust Company, by email at spacredemptions@continentalstock.com.

 

Conversion of Class B Shares Into Class A Shares

 

As previously disclosed, on March 5, 2024, Mountain & Co. I Sponsor LLC, the Company’s sponsor (the “Sponsor”) and Prof. Dr. Utz Claassen, Chief Operating Officer and Director of the Company, instructed Continental Stock Transfer & Trust Company, the Company’s transfer agent, to convert an aggregate of 5,475,000 Class B ordinary shares of the Company into Class A ordinary shares of the Company on a one-for-one basis, effective as of March 8, 2024, pursuant to the Company’s Amended and Restated Memorandum and Articles of Association. In connection with the conversion, the Sponsor and Mr. Claassen waived any right to receive funds from the Trust Account with respect to the Class A ordinary shares received upon such conversion and acknowledged that such shares will be subject to all of the restrictions that were applicable to the Class B ordinary shares under the terms of that certain letter agreement, dated November 4, 2021, among the Company and its officers, directors and the Sponsor.
