    BKN International AG ("BKN" or the "Company")
    Issue of Equity and Total Voting Rights

    BKN, the media and entertainment company specialising in the children's market, announces that it has completed a capital increase of
730,120 new no-par value bearer shares ("New Shares") at a price of EUR 2.10 per share.  The total gross proceeds from the issue of New
Shares is EUR1,533,252. 

    The capital increase has today been registered in Germany and it is expected that dealings in the New Shares will commence in Frankfurt
and London on Monday 21 July 2008. 

    Following the issue of New Shares the Company's issued share capital comprises of 20,130,290 shares and this figure may be used by
shareholders in the Company as the denomination for the calculations by which they will determine if they are required to notify their
interest in, or change of interest in, the share capital of the Company. Of the 20,130,290 shares in issue 226,808 shares are held by BKN in
treasury.
