TORONTO,

Ltd. (NEX: CAU.H) ("China Goldcorp" or the "Company")
announces that T. Robert Hambley,
C.A. (the "Former Auditor") has resigned as auditor of the
Company effective April 15, 2013 and
the board of directors has appointed BDO Canada LLP (the
"Successor Auditor") as auditor for the Company. The
resignation of the Former Auditor resulted from his retirement from
the business of auditing of public companies.
There were no modified opinions in the Former
Auditor's reports for the two most recently completed financial
years or for any period subsequent to the most recently completed
period for which an audit report was issued and preceding the date
of the Former Auditor's resignation. There are no reportable events
between the Company and the Former Auditor.
The resignation of the Former Auditor and the
appointment of the Successor Auditor were considered and approved
by the Company's board of directors. The Notice of Change of
Auditor, together with the letter from the Former Auditor and the
letter from the Successor Auditor, have been reviewed by the
Company's board of directors. A copy of such documents will be
available on SEDAR at www.sedar.com.

China Goldcorp also announces that Charlie C. Kuo has joined the board of
directors, filling the vacancy created by the resignation of
Andy Lam effective as of
February 27, 2013. The Company thanks
Mr. Lam for his service and welcomes Mr. Kuo.
