Fundraise and Total Voting Rights
Zaim Credit Systems plc (the 'Group' or 'Zaim'), the Russian
focused fintech group, announces it has completed (subject to
certain conditions inter alia Admission) an equity fundraise of
GBP1,000,000 (gross) (the "Fundraise") through the issue of
25,000,000 ordinary shares (the "Fundraise Shares") at a price of
4.0 pence per ordinary share.
The Fundraise has been undertaken by way of a placing of new
ordinary shares ("Placing") of GBP0.01 par value ("Ordinary
Shares") in the share capital of the Company and was arranged by
the Company's Broker, Optiva Securities Limited, with its clients.
The Fundraise is to provide additional capital for expansion of the
loan portfolio and the development of new products.
The Fundraise has been undertaken by means of the Placing
pursuant to which, the Company will issue 25,000,000 Fundraise
Shares at a price of 4.0p per new ordinary share ("Issue Price"),
representing a discount of approximately 10% to the closing price
of 4.4p per Ordinary Share on 15 June 2021 (being the last
practicable dealing date prior to the pricing of this
transaction).
Application will be made for the Fundraise Shares, which will
rank pari passu with the Company's existing Ordinary Shares, to be
admitted to listing on the FCA's Official List (Standard Listing)
and to trading on the London Stock Exchange's Main Market for
listed securities ("Admission"). It is expected that Admission will
become effective and dealings in the Fundraise Shares will commence
at 8.00 a.m. on or around 23(rd) June 2021.
Following Admission of the Fundraising Shares the total number
of Ordinary Shares in the Company with voting rights will be
461,975,000. This figure may be used by shareholders as the
denominator for the calculations by which they will determine if
they are required to notify their interest in, or a change to their
interest in the Company under the FCA's Disclosure Guidance and
Transparency Rules.
