The issuer advises that the following replaces the result of tender offer
announcement released today at 15.40 under RNS number 5600L.

Tenders have been received for 1,728,974 shares and not 1,729,274 as
previously stated. The amended details appear below:

          Results of the tender offer for Warner Estate Holdings PLC
                 by Hichens, Harrison & Co. plc on behalf of
                  Trefick Limited which closed at 3pm today

12th October 2001

Following the closure of the tender offer by Hichens, Harrison & Co. plc on
behalf of Trefick Limited ("Trefick") to acquire shares in Warner Estate
Holdings PLC ("Warner Estate") at 3171/2p, tenders have been received for a
total of 1,728,974 ordinary shares of 5 pence each or 3.37% of the total
number of shares in issue.

Trefick reserve the right, in accordance with the published terms of the
tender offer, to reject any tenders that it considers invalid, but on the
basis that all are accepted Trefick will hold a total of 10,246,076 shares
including the 8,517,102 shares held prior to the tender representing 20% of
the ordinary shares in issue.

Cheques will be despatched by the 5th November 2001 to shareholders who
successfully tendered shares.
