Offer declared wholly unconditional and announcement of level of acceptance


Tenberry  announces  that its recommended cash Offer to  acquire  all  of  the
Warner  Howard  Shares has been declared unconditional in  all  respects.  The
Offer will remain open until further notice.

Warner Howard Shareholders who have not yet accepted the Offer should despatch
their Form of Acceptance as soon as possible. The procedure for acceptance  of
the  Offer is set out on pages 12 to 15 of the Offer Document and in the  Form
of Acceptance.

By  3.00  p.m.  on  30th June 1999, valid acceptances of the  Offer  had  been
received   in  respect  of  a  total  of  22,107,927  Warner  Howard   Shares,
representing approximately 91.39 per cent. of the total issued ordinary  share
capital of Warner Howard.

The   consideration  due  to  Warner  Howard  Shareholders  from  whom   valid
acceptances  were  received by 3.00 p.m. on 1st July 1999 will  be  despatched
within  the  next  14 days. Consideration due in respect of valid  acceptances
received after 3.00 p.m. on 1st July 1999 will be despatched within 14 days of
receipt of such acceptances.

Terms  defined in the Offer Document have the same meanings when  used  herein
unless the context requires otherwise.
