Extension Of Offer And Announcement Of Level Of Acceptance.


Tenberry plc ("Tenberry") announces that its recommended cash Offer to acquire
the  entire  issued share capital of Warner Howard plc ("Warner  Howard")  has
been extended to 3.00p.m.on 2nd July 1999.

Shareholders who have not yet accepted the Offer should despatch their Form of
Acceptance  as  soon as possible and, in any event, so as to  be  received  no
later  than 3.00 p.m. on 2nd July 1999.  The procedure for acceptance  of  the
Offer  is set out on pages 12 to 15 of the Offer Document and in the  Form  of
Acceptance.

By  3.00  p.m.  on  18th June 1999, valid acceptances of the  Offer  had  been
received in respect of a total of 17,186,601 Shares, representing
approximately 71.04 per cent. of the issued ordinary share capital of Warner
Howard.

Immediately  prior  to  the announcement of the Offer on  28th  May  1999,  Mr
Phillips, his family trusts, the Independent Directors and the  Management
irrevocably undertook to accept the Offer in respect of their holdings (or the
holdings of persons connected with them) of Shares, representing approximately
47.5  per  cent.  of  Warner  Howard's total issued  ordinary  share  capital.
Tenberry  has  now  received valid acceptances in respect of these
undertakings amounting to 46.7% of Warner Howard's total issued share capital,
which  have  been  included in the level of acceptances  referred  to above.

Terms  defined in the Offer Document have the same meanings when  used  herein
unless the context requires otherwise.
