Oxford Instruments plc announces that on 14 February 2007 the following
directors' dealing took place:

Charles Holroyd, Executive Director exercised Executive Share Options over
26,500 shares at 158.5p per share. This represents 0.05% of the Company's
issued share capital. In order to meet tax and other liabilities arising from
this transaction Charles Holroyd sold 16,500 shares at 283.75p retaining 10,000
shares.

Following this transaction, Charles Holroyd's shareholding is 35,477 shares,
representing 0.07% of the issued share capital.
