Result of AGM

MCB Finance Group Plc (AIM: MCRB.L) held its Annual General Meeting today.

The following resolutions were duly passed:

1. Ordinary resolution to receive and adopt the directors' report and audited accounts for the financial year ended 31 December 2013.

2. Ordinary resolution to re-appoint Mazars LLP as auditors of the Company and to authorise the directors of the Company to fix the remuneration of the auditors.

3. Ordinary resolution to re-elect Philippe Duleyrie as a director of the Company.

The following resolution was not approved by the requisite majority of shares voting and was therefore not passed:

4. Ordinary resolution to authorise the directors of the Company to allot shares up to an aggregate nominal amount of GBP589,667.

The total number of proxy votes exercisable by proxies validly appointed was 12,367,716. The poll results received on each resolution put to shareholders are published in the Shareholder Information section of the Company's website at www.mcbfinance.com.
