                        Change in Substantial Shareholder

Carpathian Resources Limited ("the Company") was informed on 6 March 2008 that
OAG Fund Limited and International Investments Limited, the two lenders to
Energo Holdings Corporation ("Energo") have exercised their rights as lenders to
be registered directly as shareholders of the Company. The 123,287,543 ordinary
shares previously held by Energo were transferred to OAG Fund Limited and
International Investments Limited on 28 February 2008. These ordinary shares
remain subject to the conditions of a loan agreement and share mortgage
agreement whereby Energo are entitled to repay both OAG Fund Limited and
International Investments Limited at any time and will therefore be able to
re-register the ordinary shares of the Company in their name. Energo remains the
beneficial owner of the shares and retains the voting rights to the total
123,287,543 ordinary shares registered under OAG Fund Limited and International
Investments Limited.

Following this transfer, OAG Fund Limited are interested in 102,723,181 ordinary
shares in the Company representing 38.9% of the voting rights in the Company and
International Investments Limited are interested in 20,564,362 ordinary shares
in the Company representing 7.6% of the voting rights in the Company.
