(together, the Notes and each a Series of Notes)
Further to the Issuer's announcement earlier today, the Issuer
hereby announces that:
(a) in connection with the Series 2017-1 Notes:
(i) the Series 2017-1 LIBOR vs SONIA Interpolated Basis (as
calculated by the Solicitation Agents at the Pricing Time) is 0.150
per cent.;
(ii) the New Margin is 0.570 per cent. (being the sum of 0.420
per cent. and the Series 2017-1 LIBOR vs SONIA Interpolated Basis);
and
(iii) the New Step-Up Margin is 0.990 per cent. (being the sum
of 0.840 per cent. and the Series 2017-1 LIBOR vs SONIA
Interpolated Basis); and
(b) in connection with the Series 2018-1 Notes:
(i) the Series 2018-1 LIBOR vs SONIA Interpolated Basis (as
calculated by the Solicitation Agents at the Pricing Time) is 0.153
per cent.;
(ii) the New Margin is 0.513 per cent. (being the sum of 0.360
per cent. and the Series 2018-1 LIBOR vs SONIA Interpolated Basis);
and
(iii) the New Step-Up Margin is 0.873 per cent. (being the sum
of 0.720 per cent. and the Series 2018-1 LIBOR vs SONIA
Interpolated Basis),
each with effect from 15 October 2019.
The Issuer will shortly arrange execution and delivery of (i)
the Amended and Restated Series 2017-1 Final Terms; (ii) the
Amended and Restated Series 2018-1 Final Terms; (iii) the
Supplemental Trust Deed; and (iv) the Intercompany Loan Agreement
Supplement, each of which will be made available on the website of
the Issuer at
https://www.santander.co.uk/uk/about-santander-uk/investor-relations/holmes-master-trust.
Capitalised terms used but not defined herein shall have the
meanings set out in the Notice of Meeting with respect to each
Series of Notes dated 19 September 2019 and the Consent
Solicitation Memorandum of the Issuer dated 19 September 2019.
