Explanation of Responses:
(1)	On March 14, 2022, the Reporting Person was granted options to purchase 500,000 shares of common stock pursuant to the Issuer's 2021 Omnibus Equity Incentive Plan. The shares vest 25% on the first anniversary of hire and monthly thereafter for 36 months.
(2)	Each restricted stock unit ("RSU") represents the right to receive one share of common stock upon vesting. The RSUs fully vest over a 2 year period upon the shares of common stock issuable upon vesting are freely tradable by the Reporting Person.
