The Company also announces that it has entered into an
definitive agreement with North American Resources Inc. Ltd.
(“NARIL”) for management and eventual acquisition of commercial
dredging operations in Guyana. NARIL is a Guyana mining company
that has been conducting gold exploration and mining for over
twenty years. NARIL currently operates two cutterhead dredges on
the Konawaruk river. Gold production for NARIL exceeded 1600 ounces
in 2014. NARIL is in the process of refurbishing and updating one

Furthermore, NARIL is also developing a missile dredge operation on
the Konawaruk river.
In addition to the river dredging operations, NARIL also
operates two small pilot land operations in the Mazaruni river
region of Guyana. One operation is in the Issano Creek area and the
other is in the Semang area. Based upon current results, the
Company intends to significantly expand these operations over the
next two quarters.
Acquisition of NARIL will not be effective until it completes
audited financial statements for a two year period. In the interim
time, all NARIL operations will be managed by TransGlobal.
Clint Mishleau, the Company’s CEO, stated “We have worked with
South American Minerals Inc. and its Cutterhead Dredge Investors
for the past two years to reach this achievement. Everyone
associated with the companies are very excited that NARIL’s
operations are now formally under the management of TransGlobal and
will eventually become subsidiary operations of the Company. NARIL

statements.”
