EFT Eaton Vance Floating Rate Income Trust

At a meeting on December 10, 2007, the Board of Trustees of Eaton Vance Floating-Rate Income Trust (the ๏ฟฝTrust๏ฟฝ), (NYSE: EFT), a closed-end investment company voted to hold the Annual Meeting of Shareholders of the Trust on Friday, March 28, 2008 at 1:30 P.M. (EST). The meeting will be held at the principal office of the Trust, The Eaton Vance Building, 255 State Street, Boston, Massachusetts 02109. Proxy materials will be mailed on or about January 29, 2008 to Shareholders of record on January 15, 2008. Shareholders will be asked to vote on the election of three Class I Trustees and one Class II Trustee of the Trust. The Trust is managed by Eaton Vance Management, a subsidiary of Eaton Vance Corp., which is listed on the New York Stock Exchange under the symbol EV. Eaton Vance and its affiliates had over $161.7 billion in assets under management as of October 31, 2007.
