Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On October 28, 2022, the Board of Directors (the “Board”) of Wheeler Real Estate Investment Trust, Inc. (the “Company”) voted to elect Ms. Megan Parisi as a director of the Company effective as of November 1, 2022.

 

Since 2010, Ms. Parisi has been the Director of Communications at a group of private investment partnerships known as The Stilwell Group. Ms. Parisi is a graduate of Cornell University, where she obtained her B.S. degree.

 

The Board has determined that Ms. Parisi qualifies as an independent director for purposes of the rules of the Nasdaq Stock Market as well as applicable rules adopted by the U.S. Securities and Exchange Commission (the “SEC”).

 

Ms. Parisi will receive compensation based on the same policies as the Company’s other non-employee directors, which are described in the Company’s definitive proxy statement filed with the SEC on April 29, 2022. Ms. Parisi has no direct or indirect material interest in any transaction with the Company that is reportable under Item 404(a) of Regulation S-K, nor have any such transactions been proposed.
