Item 8.01                Other Events .

On September 28, 2011, we received a subpoena duces tecum from the U.S. Department of Justice requesting documents regarding certain promotional practices relating to the Company’s products, NUVIGIL® (armodafinil) and PROVIGIL® (modafinil).  The Company is in the process of responding to the subpoena and intends to cooperate fully.
