Each warrant, which expires on July 8, 2010, entitles the holder to purchase one share of common stock at an exercise price of $6.19. ICOP maintains the right to redeem the warrants issued in this offering at a redemption price of $0.25 per warrant at any time after its accumulated gross revenue, as reviewed by the Company's independent auditors, exceeds $15 million.
