WARNER HOWARD PLC (THE "COMPANY")

This notification relates to Ordinary Shares of 5p each of the company (The
"Shares") and is given in fulfilment of the obligations imposed under section
198 Companies Act 1985. (The "Act").

We hereby notify you that on 7 June 1999 we disposed of an interest in the
Shares which resulted in us now holding a total of 2,495,000 Shares, being
10.31% of the issued share capital of Warner Howard Plc.

Morgan Stanley Securities Limited is a memeber of the Morgan Stanley Dean Witter
Group of Companies.  Those Group Companies which are direct or indirect holding
companies of Morgan Stanley Securities Limited are, under the terms of section
203 of the Companies Act 1985, each interested by attribution in any shares in
which Morgan Stanley Securities Limited is interested.

Granville Investment & Pensions Limited has a notifiable interest in 2,427,168
ordinary shares in your company representing 10.03% of shares of this class.
This interest arises purely from the status of Granville Investment & Pensions
Limited as investment manager to the above two companies.  Granville Investment
& Pensions Limited is not the beneficial owner of the shares and should not be
identified as such.
