The Company has been notified that the Co-operative Insurance Society Limited
holds as beneficial owner, or has an interest in, 0 ordinary shares of Oxford
Instruments plc as at the close of business on 24 November 2006, this being
equal to 0% of the relevant issued share capital. The decrease in percentage
holding was as a result of the following transaction:

Co-operative Insurance Society Limited holds nil shares as beneficial owner. It
is also a limited partner in Aberforth Limited Partnership 1A and is interested
in 0 shares as a result of that participation.

BriTel Fund Trustees Limited

The Company has been notified that BriTel Fund Trustees Limited no longer holds
a notifiable interest in the shares of Oxford Instruments plc.

Schroders

Schroder Investment Management Limited have an interest in 5,518,435 shares,
which are held in portfolios managed on a discretionary basis for clients under
investment management agreements.

Included in this figure are:

 i. 3,098,194 shares held in a unit trusts operated and managed by an
    affiliated company, Schroder Unit Trusts Limited (SUTL) and registered or
    to be registered in the name of Chase Nominees and,
   
ii. 2,420,241 shares neither registered nor to be registered in the name of
    Schroder Nominees. The registration details are shown in the table at the
    bottom of this notice.
   
An affiliated company, Schroder Investment Management North America Ltd (SIMNA
Ltd), is managing a portfolio on a similar basis holding a further 246,296
shares. This holding is registered or to be registered in the name of Chase
Nominees Limited.

An affiliated company, Schroder & Co Limited (S&Co Ltd), is managing a
portfolio holding a further 2,000 shares. These shares are registered or to be
registered in the name of Chase Nominees Limited.

Schroder Investment Management Limited believe that they, their subsidiary and
affiliated company are therefore interested in an overall aggregate of
5,766,731 shares, representing 11.831% of the total number of shares in issue.

This notification is made:

 a. in respect of their interest as investment managers,
   
 b. on behalf of SIMNA Ltd and SUTL Ltd in relation to the interests they are
    treated as having respectively under the Companies Act 1985 (the ACT), and
   
 c. on behalf of Schroders plc., the holding company, which is treated as
    having an interest in all of the above shares under the ACT by virtue of
    its ownership of SIMNA Ltd, S&Co Ltd, SUTL and Schroder Investment
    Management Limited.
