Issue of Equity

Kleenair Systems International Plc ("Kleenair" or "the Company") announces that it has placed 3,333,333 new ordinary shares of GBP0.001 each ("Ordinary Shares") at a price of 1.5 pence per share, raising gross proceeds of GBP50,000 which will be used for working capital purposes ("the Placing").

Further to the Placing the following shareholder has a disclosable interest:

Application for these shares to be admitted to trading on AIM has been made and is expected to occur on 9 October. The new Ordinary Shares will rank pari passu with the existing Ordinary Shares in issue. Following this issue the Company will have 68,139,505 Ordinary Shares of GBP0.001 each in issue.

In accordance with the Disclosure and Transparency Rules (DTR 5.6.1R), the Company confirms that, following this issue, its total issued share capital will be 69,762,637 shares comprising of 68,139,505 Ordinary Shares of GBP0.001 each, 278,812 Deferred Shares of 99 pence each, 1,221,200 B Ordinary Shares of GBP0.001 each and 122,120 Deferred B Shares of 99 pence each. The Deferred Shares (400,932) and B Ordinary Shares (1,221,200) have no voting rights. All of the Ordinary Shares have equal voting rights and none of the Ordinary Shares are held in Treasury. The total number of voting rights in the Company is therefore 68,139,505. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Disclosure and Transparency Rules.
