    Canton Property Investment Limited
    (the "Company")

    Notification pursuant to Rule 17 of the AIM Rules for Companies
    Changes in interest of Directors and Significant Shareholders 

    The Board of Directors of the Company would like to make the following notification in respect of the recent changes in shareholding of
certain Directors and Significant Shareholders (as defined in the AIM Rules for Companies).

    Upon the allotment and issue of 27,147,803 ordinary shares of no par value of the Company ("Shares") to each of Bright Gate Investments
Limited and Windsom Vision Group Limited on 30 June 2008 pursuant to the terms of the Share Sale and Purchase Agreement dated 11 March 2008,
as supplemented and amended by a Supplemental and Amendment Agreement dated 28 June 2008 (together the "Share sale and Purchase Agreement"),
the Company has received notification from certain Directors and Significant Shareholders on 30 June 2008 in respect of the following
changes to their shareholding in the Company:

    (a)    Windsom Vision Group Limited and Ms Zhuansong Ye notified the Company that on 30 June, 2008, 27,147,803 Shares were allotted and
issued to Windsom Vision Group Limited. Such Shares account for approximately 5.81% of the total issued shares of the Company. As a result,
Windsom Vision Group Limited is now a Significant Shareholder of the Company. Windsom Vision Group Limited is wholly owned by Ms Ye.

    (b)    Mr Keng Wong (Executive Chairman and Substantial Shareholder of the Company), Bright Gate Investments Limited and Innogate
Limited notified the Company that on 30 June 2008, 27,147,803 Shares were allotted and issued to Bright Gate Investments Limited. As a
result of such allotment and issue, Mr Wong now holds (through his wholly owned subsidiaries) 200,902,247 Shares, up from his previous
holding of 173,754,444 Shares. This represents an increase of approximately 0.92% in Mr Wong's shareholding in the Company, from his
previous shareholding of approximately 42.09% to his current shareholding of approximately 43.01%.  

    Bright Gate Investments Limited is a company incorporated in the British Virgin Islands ("BVI"). It is wholly owned by Innogate Limited,
also a BVI company, which in turn is wholly owned by Mr Wong.

    (c)    Ms Mui Kwan Chan (Deputy Executive Chairman and Significant Shareholder of the Company), Superpass Investments Limited, Team
Station Limited and General Motive Limited notified the Company that the percentage shareholding of Ms Chan (through her wholly owned
subsidiaries) has been diluted as a result of the above allotment and issue of Shares. Ms Chan continues to hold 173,754,445 Shares, but her
percentage shareholding is now diluted from approximately 42.09% to approximately 37.2%.

    Ms Chan's interest in the Company is registered in the name of Superpass Investments Limited, a BVI company. Superpass Investments
Limited is wholly owned by Team Station Limited, a BVI company, which in turn is wholly owned by General Motive Limited, also a BVI company.
General Motive Limited is wholly owned by Ms Chan. 

    The above-mentioned allotment and issue of Shares to Bright Gate Investments Limited and Windsom Vision Group Limited was made as
partial consideration for the sale by Mr Wong and Ms Ye of their entire holding interest in the Canton Finance Project to the Company, as
announced by the Company on 12 March 2008.
