ACCOUNTS FOR THE YEAR ENDED 31 MARCH, 2001

This is to inform you that a meeting of the Board of Directors of the Company 
will be held on Saturday, 24 November, 2001, inter alia, to approve the Accounts
of the Company for the year ended 31st March, 2001. The Board will not consider 
any proposal for payment of dividend for the said year.

Approval of the aforesaid accounts incorporating therein effect of the Tariff 
Revision Order recently passed by the West Bengal Electricity Regulatory 
Commission will be subject to leave of the Hon'ble Supreme Court in SLP(C) No, 
11810 of 2001.
