CAUTIONARY ANNOUNCEMENT

The board of directors of Northam hereby announce that Northam has expressed
its interest, in writing, to the board of directors of Kroondal Platinum Mines
Limited ("KPM"), in acquiring KPM.  Northam has indicated that it would
consider a price of R40.00 per KPM ordinary share and R30.80 per KPM "T"
option, and that its preference would be to acquire 100% of KPM.  Accordingly,
shareholders of Northam are advised to exercise caution in their share
dealings until a further announcement is made.
