Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

 

On July 3, 2015, David Moser resigned from his position as the Chief Technology Officer of Zenovia Digital Exchange Corporation, a Nevada corporation (the “Company”). Following his resignation, on July 13, 2015, Mr. Moser filed a lawsuit against the Company in Fairfax County, Virginia Circuit Court seeking damages related to certain promissory notes between Mr. Moser and the Company and seeking other monetary and equitable relief arising from other agreements between Mr. Moser and the Company.
