INFORMATION CONTAINED IN THIS FORM 6-K REPORT

July 5, 2011 - Omega Navigation Enterprises Inc. (NASDAQ - ONAV) announced today that OD Investments Ltd., the Company's 80% owned subsidiary, and Topley Corporation, a wholly-owned subsidiary of Glencore International AG, have terminated their 50/50 joint venture, Megacore Shipping Ltd., effective July 1, 2011.

Under the terms of the dissolution, Omega's majority owned subsidiary will retain its 100% ownership interests in the vessels Megacore Hounami and Megacore Philomena and will assume all of the rights and interests to two newbuilding vessels currently under construction at the Hyundai Mipo Shipyard in South Korea that are scheduled for delivery in July 2011 and March 2012, respectively. Topley has also agreed to purchase OD's 50% interest in the Megacore Philothea at fair market value.
