Item 8.01. Other Events

 

As previously reported, on October 1, 2024, Hennessy Capital Investment Corp. VI (the “Company”) received a written notice from the Listing Qualifications Department of The Nasdaq Stock Market LLC (“Nasdaq”) indicating that the Company has failed to comply with Nasdaq Listing Rule IM-5101-2, which requires that a special purpose acquisition company must complete one or more business combinations within 36 months of the effectiveness of its initial public offering registration statement. The Company requested a hearing to appeal this determination before the Nasdaq Hearings Panel (the “Panel”), which hearing was held on November 19, 2024.

 

On December 19, 2024, the Company received written notification (the “Letter”) from Nasdaq notifying the Company of the Panel’s decision to grant the Company’s request to continue its listing on The Nasdaq Stock Market until March 31, 2025, subject to the Company’s compliance with the conditions outlined in the Letter.
