                   Warner Estate Holdings PLC ("the Company")

                      Shareholdings of Directors and PDMRs

Messrs. P C T Warner, P W Collins and M J Stevens, Directors of the Company,
each purchased 34 Ordinary shares in the Company on 31 May 2007 at 736p each
under the Company's All Employee Share Ownership Plan ("the AESOP"). Messrs. P C
T Warner, P W Collins and M J Stevens purchased 17 of their shares as
Partnership Shares and 17 shares each were purchased by the Company as Matching
shares under the rules of the AESOP. All shares were purchased on their behalf
by Capita IRG Trustees Limited, the Trustee of the AESOP. The Trustee will hold
the Shares in Trust for a minimum period of five years following the date of the
purchase. The shares purchased represent less than 0.001 per cent. of the
Company's issued ordinary share capital.

The Directors' total interests under the AESOP are as follows:-

The Directors' other interests in the shares of the Company are unchanged.

Ms S Harries and Messrs. D J Lanchester, M D Ovens and V B Vaghela, PDMRs of the
Company, each purchased 34 Ordinary shares, and Mr J Peacock, a PDMR of the
Company, purchased 36 Ordinary shares in the Company on 31 May 2007 at 736p each
under the Company's All Employee Share Ownership Plan ("the AESOP"). Ms S
Harries and Messrs. D J Lanchester, M D Ovens and V B Vaghela purchased 17 of
their shares as Partnership Shares and 17 shares each were purchased by the
Company as Matching shares under the rules of the AESOP. Mr J Peacock purchased
18 of his shares as Partnership Shares and 18 shares were purchased as Matching
Shares under the rules of the AESOP. All shares were purchased on their behalf
by Capita IRG Trustees Limited, the Trustee of the AESOP. The Trustee will hold
the Shares in Trust for a minimum period of five years following the date of the
purchase. The shares purchased represent less than 0.001 per cent. of the
Company's issued ordinary share capital.

The PDMRs' total interests under the AESOP are as follows:-
