                   Woolworths Group plc - Total Voting Rights



In conformity with the Transparency Directive's transitional provision 6, the
Company confirms that its issued share capital consists of 1,458,848,291
ordinary shares of 12.5p with each carrying the right to one vote.



No ordinary shares are held in treasury.



The above figure of 1,458,848,291 may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, Woolworths Group plc under
the FSA's Disclosure and Transparency Rules.
