Warner Howard plc

The Directors of Warner Howard plc  ("Warner Howard" or  "the  Company")  have
noted the recent rise in the Company's  share price.  The Company is currently
in the very  early  stages of discussions with Robin Phillips, Deputy Chairman
of the Company,  which may or may not  lead to  an  offer for the whole of the
issued  share  capital  of  Warner  Howard.  It is envisaged that an offer, if
made, would be at a small premium to the current share price.

Shareholders  will  be  kept informed of any relevant developments and, in the
meantime, are advised by the Board not to take any action.
