Spacelabs Healthcare Inc. -- Announcement Regarding Parent Company Shareholding


HAWTHORNE, CA--(Marketwire - December 05, 2007) - Spacelabs Healthcare Inc.
(LSE: SLAB) (the "Company" or "Spacelabs") announces today that its majority
shareholder, OSI Systems, Inc. ("OSI Systems") has expressed its intention to
acquire the remaining shares of the Company -- currently OSI Systems owns
approximately 89% of the issued and outstanding shares of Spacelabs. OSI Systems
has indicated to the Company that it intends to offer to acquire the remaining
Spacelabs shares for 100p per share, a premium of 25% to the closing price on 4
December 2007. As a US company listed in the UK, the City Code on Takeovers and
Mergers does not apply to the Company, although the company's by-laws contain
certain provisions relating to mandatory takeovers. The Company anticipates that
OSI will communicate directly with Spacelabs shareholders in regard to this
offer.
