        Warrant exercise and admission of new ordinary shares to trading

SectorGuard announces that 6,471,001 warrants to subscribe for new ordinary
shares in the Company at 3p per share have been exercised, raising #194,130.03
for the Company.

Accordingly, application has been made by the Company for the admission of
6,471,001 new ordinary shares in the Company to be admitted to trading on the
AIM market.

The new Ordinary Shares will rank pari passu with the existing ordinary shares
of the Company and dealings are expected to commence on 18 March 2005.
