   Oxford Instruments plc offers to purchase the business of
                   Auburn International Inc

Oxford Instruments plc, the advanced instrumentation company,
announced today that it has offered to purchase the business
of Auburn International Inc ("Auburn") from the US Bankruptcy
Court in Boston, Massachusetts for $4.5million payable in
cash. The offer is subject to the approval of the Court and
other interested parties.  Oxford Instruments plc will acquire
patents and other intellectual property together with certain
tangible assets and access to the substantial installed
customer base.

Auburn, based in Danvers, Massachusetts, manufactures and
installs on-line NMR and electrostatic process-control
measurement devices for a number of industrial applications,
especially the manufacture of polyethylene and polypropylene.
During 1997 and 1998 Auburn over-extended itself in an attempt
to create a global distribution infrastructure and was
affected by the Asian recession.  Sales slowed, a significant
loss was incurred and Auburn filed a plan of reorganisation
under chapter 11 of the US Bankruptcy Code in December 1998.

It is proposed that the business of Auburn will be absorbed
into the existing Oxford Instruments worldwide operations,
particularly in Abingdon, UK and in Concord, Massachusetts,
USA.  The Instrumentation Group of businesses within Oxford
Instruments is focused on providing packaged solutions to
complex measurement problems in chosen industries worldwide.
The addition of Auburn fits naturally with this strategy and
the global distribution and customer support strength of
Oxford Instruments should facilitate the growth of the
business.
