            Retirement of a non-executive director


Oxford Instruments today announced that upon the expiry of his
current term of appointment as a non-executive director,
Sir John Fairclough will be retiring at the company's
forthcoming Annual General Meeting on Thursday 30 July 1998.

Chairman Sir Peter Williams said today:
     
     "I would like to thank Sir John for his tremendous
     contribution to the company during almost eight years as
     a Director since his appointment in October 1990.  His
     advice, both as a businessman and as one of the country's
     leading technologists, has been invaluable.  We will miss
     his involvement, but wish him a happy and well deserved
     retirement."
