Issue of Equity and Total Voting Rights
The Company announces that on 16 November 2022 it allotted and
issued 21,071,256 new Ordinary Shares of 1p each ("Shares"). These
new Shares in the Company have been issued pursuant to the Offer
for subscription with The Income & Growth VCT plc, Mobeus
Income & Growth 2 VCT plc and Mobeus Income & Growth 4 VCT
plc , launched on 5 October 2022 , to raise up to GBP47 million in
aggregate with over-allotment facilities to raise, in aggregate, up
to a further GBP29 million ("the Offer ").
In accordance with the allotment formula set out in the
prospectus for the Offer, the Shares were issued at prices of
between 65.81 and 69.01 pence per Share, depending on the adviser
charge (if applicable) and the number of shares issued (after
taking roundings into account) pertaining to each application.
Application has been made for the new Ordinary Shares to be
admitted to the Official List of the UK Listing Authority and
dealings are expected to commence on or around 22 November 2022
.
Following this allotment, the issued share capital and total
voting rights of the Company are 157,772,844 Ordinary Shares and
the total number of shares with voting rights in the Company is
157,772,844. The Company does not hold any share in Treasury.
The above figure ( 157,772,844 ) can be used by Shareholders as
the denominator for the calculations by which to determine if they
are required to notify their interest in, or a change to, their
interest in the Company under the FCA's Disclosure and Transparency
Rules.
