Board Changes
Highway Capital plc (formerly Superframe Group plc) is pleased to announce the
appointment of Mr Dominic Wheatley as Non-Executive Chairman of the Company
with immediate effect.
The following notification is provided in accordance with paragraph 16.4 of
the Listing Rules of the UK Listing Authority:
a. Mr Wheatley is also a Non-Executive Director of London Stock Exchange
listed companies StatPro Group plc and Telecom Plus plc and Chairman of
the European Division of The 3DO Company Inc (THDO: NASDAQ). He was Chief
Operating Officer of Eidos plc and Chief Executive of Eidos Interactive in
the USA from 1995 until 1997.
b. Mr Wheatley has:
1. no unspent convictions in relation to indictable offences;
2. never been declared bankrupt or entered into any individual voluntary
arrangement;
3. not been a director of any company at the time of or during the 12
months immediately preceding its receivership, compulsory liquidation,
creditors voluntary liquidation, administration, company voluntary
arrangement or any composition or arrangement with its creditors
generally or any class of its creditors;
4. not been a partner of any partnership at the time of or during the 12
months immediately preceding its compulsory liquidation,
administration or partnership voluntary arrangement;
5. not had any of his assets placed in receivership nor has he been a
partner in any partnership at the time of or during the 12 months
preceding the placing into receivership of any of its assets; and
6. never been the subject of any public criticism by any statutory or
regulatory authority (including recognised professional bodies) nor
has he ever been disqualified by a court from acting as a director of
or acting in the management or conduct of the affairs of any company.
