Henderson Japanese Smaller Companies Trust plc (the "Company")

The Board of Henderson Japanese Smaller Companies Trust plc announces that at
the extraordinary general meeting of the Company held earlier today the two
special resolutions, to authorise the implementation of the scheme of
reconstruction of the Company and to make the necessary changes to the
Company's articles of association, were duly passed.

The entitlements of the Shareholders will be determined at the calculation
date which is expected to be 9 August 2001.  A further announcement will be
made following the second extraordinary general meeting scheduled to be held
on 13 August 2001.
