RESULTS OF EGM


INTRODUCTION

On 3 February 1998, Fitness First PLC ("Fitness First") announced a Placing by
Henderson Crosthwaite Institutional Brokers of 4,838,710 new Ordinary Shares
at 217p per share including an Open Offer of 2,336,111 of those new Ordinary
Shares at 217p per share on the basis of 1 New Share for every 12 Existing
Ordinary Shares.  The Placing was underwritten by Guinness Mahon & Co..  On 25
February 1998 the Company announced that the take-up under the Open Offer
represented an acceptance level of 98.3 per cent..

RESULTS OF THE EXTRAORDINARY GENERAL MEETING

At the Extraordinary General Meeting of Fitness First held earlier today the
resolutions approving, inter alia, the Placing and the Open Offer were passed
unanimously.

The Placing and the Open Offer remain conditional, inter alia, upon the
admission of the new Ordinary Shares to trading on the Alternative Investment
Market of the London Stock Exchange becoming effective.  It is expected that
this will occur and dealings will commence at 8.30 a.m. on Monday, 2 March
1998.

It is expected that definitive certificates in respect of the new Ordinary
Shares will be despatched to shareholders by 27 February 1998.

DIRECTORS' SHAREHOLDINGS

Following the Placing and the Open Offer, the admission of the new Ordinary
Shares to trading on the Alternative Investment Market and after including the
take up by Nigel Cartwright, Stephen Bamford and Walter Goldsmith, directors
of the Company, of their entitlements under the Open Offer to 83, 520 and
1,666 new Ordinary Shares respectively, the Directors' and their associates'
shareholdings will be as follows:
