CES Software plc - Grant of options

LONDON, England - CES Software plc ("the Company") announces that on 27 January
2005 it granted options to subscribe for an aggregate of 1,494,226 ordinary
shares of 5 pence each in the Company ("Ordinary Shares") to certain employees
and consultants at an exercise price of 192 pence per share. The options were
granted under the CES Software plc 2003 Unapproved Share Option Scheme and vest
in four equal instalments of the first, second, third and fourth anniversary
from the date of grant, subject to the holder remaining employed or engaged by
the group at each such date. The options, once vested, are exercisable at any
time on or before 26 January 2015.

As part of this tranche of option grants, options to subscribe for up to 250,000
Ordinary Shares have been granted to Lorne Abony, a Director of the Company.
