    Merger Update and Board Changes

    This announcement is made by Bluehone AiM VCT2 plc ("the Company") in connection with the scheme for the merger of Bluehone AiM VCT plc
("VCT 1") with the Company ("the Scheme"), details of which were published on 20 June 2008 and contained in the Company's prospectus ("the
Prospectus") and circular to shareholders ("the Circular").

    The board of directors of VCT 1 ("the Board") are pleased to advise that the resolution proposed at the extraordinary general meeting of
VCT 1 held today was duly passed to be able to implement the Scheme and effect the merger. By way of implementation of the Scheme, the
assets and liabilities of VCT 1 have been transferred to the Company, in consideration for the issue of shares in the Company, as set out
below.

    The total number of ordinary shares of 10 pence each in the capital of the Company ("Shares") issued to VCT 1 shareholders in connection
with the Scheme was 17,148,842 equal to 0.811706 Shares for each ordinary share of 10 pence each in the capital of VCT 1 held.  

    Application will shortly be made for all the Shares issued to be admitted to the Official List and to trading on the main market of the
London Stock Exchange. It is expected that admission will become effective and that trading will commence on 28 July 2008. 

    The Board also announces that Robert Catto resigned as a director of the Company, as indicated in the Prospectus and Circular, effective
today. The Board would like to thank Robert for his valuable contribution since joining the board and wish him well in his future
activities.

    The Board further announces that Gordon Harvey (the chairman of VCT 1) joined the board today as a non*executive director. Gordon was
until recently a divisional director of Gerard and has been responsible for managing private client funds for over 41 years. He has been a
member of the London Stock Exchange since 1966. He is presently chairman of Margetts Holdings Limited and a director of Investment West
Midlands plc. He is also an Investment Consultant at the Birmingham office of Williams de Bro.
