Sub: Changes in Directorate


We give below the changes in our Directorate:

a.   Mr A K Jain, Wholetime Director has expressed a desire to seek early 
     retirement. He would cease to hold office with effect from 15th February
     2007.

b.   Mr M L Narula, after his retirement as Managing Director from 31st March 
     2007 is to be appointed as a Non-Executive Director with effect from 1st
     April 2007.  This appointment would be subject to the approval of the
     shareholders at the forthcoming Annual General Meeting.
