GBP250,000,000 Series 5 Class A Asset Backed Floating Rate Notes due November 2032 (Common Code: 023133130 & ISIN: XS0231331306) (the Notes);

issued by the Issuer (and the holders thereof the Noteholders)

constituted by Fourth Issuer Note Trust Deed dated 19 October 2005 as supplemented from time to time between the Issuer and The Bank of New York Mellon (the Fourth Issuer Note Trustee)

Notice is hereby given by the Issuer to the Noteholders that the Issuer has been notified by Bank of Scotland plc (Bank of Scotland) that it will offer to purchase the Notes at a price of par plus accrued interest (the Offer).

Bank of Scotland will make the Offer to Noteholders from the date of this announcement until 5 p.m. London time on Monday 2 April 2012.

Lloyds Bank, Wholesale Banking & Markets will act as Dealer Manager on behalf of Bank of Scotland
