Explanation of Responses:

(1)

Pursuant to the Agreement and Plan of Merger (the "Merger Agreement"), dated as of April 15, 2021, between the Issuer and Kimco Realty Corporation ("Kimco"), pursuant to which the Issuer merged with and into Kimco with Kimco surviving the merger (the "Merger"), at the effective time of the Merger, each common share of the Issuer held by the Reporting Person was converted into 1.408 shares of Kimco's common stock.
